Subscription Terms
Applies to: TerraAqua Cloud subscriptions, My TerraAqua and associated applications
1. Purpose and scope
These Subscription Terms govern paid TerraAqua Cloud features purchased through TerraAqua, My TerraAqua, a TerraAqua application or an authorised app-store or payment provider.
2. Local ReefCore operation
A paid cloud subscription is not required for the core local operation of a ReefCore Controller. Features that depend on TerraAqua Cloud, including remote access and specified advanced services, require an active subscription.
3. Available plans
At the effective date of these Terms, TerraAqua’s standard consumer cloud plans are:
- Monthly: £4.99 per billing month.
- Yearly: £49.99 per billing year.
The price, billing frequency, included features and any applicable taxes are displayed before purchase. Promotional or legacy plans may have different terms.
4. Starting a subscription
A subscription begins when payment is accepted or at the end of any stated trial period. The customer must provide accurate billing information and have authority to use the selected payment method.
5. Automatic renewal
Unless stated otherwise before purchase, subscriptions renew automatically for the same billing period until cancelled. The payment method on file will be charged at renewal.
TerraAqua will provide the information and renewal notices required by applicable law.
6. Billing dates
Monthly subscriptions are normally billed on the corresponding date each month. Yearly subscriptions are normally billed on the annual renewal date. Where a date does not exist in a particular month, billing may occur on the nearest appropriate date.
7. Price changes
TerraAqua may change subscription prices. Existing subscribers will receive reasonable advance notice of an increase where required. A new price will apply from a future renewal date, not retrospectively to a period already paid for.
If the customer does not accept the new price, they may cancel before the price takes effect.
8. Cancelling a subscription
A subscription can be cancelled through the method made available in the app, My TerraAqua, the relevant app store or by contacting TerraAqua where account-based cancellation is not available.
Cancellation stops future renewal. Unless a statutory cooling-off or refund right applies, access normally continues until the end of the paid billing period.
9. Cooling-off rights
Consumers may have a 14-day statutory cancellation period for qualifying distance contracts. Where the customer expressly asks for immediate access during that period, TerraAqua may charge a proportionate amount for service supplied before cancellation where the law permits.
Where digital content is supplied immediately, any loss of the cancellation right will apply only if the customer expressly consented to immediate supply, acknowledged the consequence and received the legally required confirmation.
10. Renewal cooling-off rights
TerraAqua will apply any statutory renewal cooling-off rights that are in force and applicable to the subscription at the relevant time, including any required right to cancel following a qualifying renewal.
11. Refunds
Except where required by law or expressly stated, subscription charges are not refundable for a partially used billing period after the ordinary cancellation window has passed.
Duplicate charges, billing errors and legally valid cancellation claims will be investigated and corrected. Purchases made through an app store or third-party payment platform may need to be refunded through that provider under its procedures.
12. Trials and promotions
Trial length, promotional pricing and eligibility are displayed before sign-up. Unless cancelled before the stated conversion date, a trial may convert into a paid subscription where the customer was clearly informed and authorised the payment arrangement.
13. Changes to included features
TerraAqua may improve, replace or retire subscription features. Material reductions to a paid service will be handled fairly, with notice and any remedy required by law. Safety-critical local controller operation will not intentionally be made dependent on a cloud subscription merely by cancelling the subscription.
14. Service availability
TerraAqua aims to provide reliable cloud services but does not guarantee uninterrupted availability. Planned maintenance, internet failure, third-party outages, security incidents or events outside reasonable control may cause temporary interruption.
15. Failed payments
If payment fails, TerraAqua or its payment provider may retry the charge and notify the customer. Cloud subscription features may be restricted or suspended after reasonable notice if payment remains outstanding.
16. Account suspension
TerraAqua may suspend subscription access where reasonably necessary because of fraud, security risk, unlawful use, material breach or unpaid charges. Mandatory consumer rights remain unaffected.
17. App-store and third-party purchases
Where a subscription is purchased through Apple, Google or another platform, billing, cancellation and refund administration may also be governed by that platform’s terms. These Subscription Terms continue to govern use of TerraAqua services to the extent they do not conflict with mandatory platform rules or law.
18. Data after cancellation
Cancellation does not automatically delete the TerraAqua account. Data will be retained or deleted in accordance with the Privacy Policy and applicable retention periods. Some historical or cloud-only features may no longer be accessible after the subscription ends.
19. Consumer rights
Nothing in these Terms limits rights under the Consumer Rights Act 2015, the Consumer Contracts Regulations 2013, applicable subscription legislation or other mandatory consumer law.
20. Changes to these Terms
TerraAqua may update these Terms to reflect service, legal or operational changes. Material changes will be notified where required and will normally take effect from a future billing period.
