1. Agreement

This End User Licence Agreement (“EULA”) governs TerraAqua software, firmware, controller interfaces, mobile applications and related software components supplied for use with TerraAqua products and services.

By installing, activating, accessing or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

2. Definitions

Software includes ReefCore controller software, firmware, TerraAqua applications, user interfaces, updates and accompanying documentation supplied by TerraAqua. Device means authorised hardware on which the Software is installed or accessed.

3. Licence grant

Subject to this EULA, TerraAqua grants you a limited, non-exclusive, non-transferable and revocable licence to install, access and use the Software for its intended purpose with authorised TerraAqua products and services.

The Software is licensed, not sold. Ownership of the Software and intellectual-property rights remains with TerraAqua and its licensors.

The Software assists aquarium monitoring and automation but is not a substitute for physical inspection, routine maintenance, appropriate alarms, backup equipment and responsible livestock care.

You remain responsible for configuration, alarm limits, connected equipment, water quality, electrical safety, network availability and emergency arrangements.

7. Updates

TerraAqua may provide bug fixes, security patches, firmware updates, compatibility updates and feature updates. Updates may install automatically where enabled or may require user action.

Some updates may be required to maintain security, cloud compatibility or support. Failure to install an important update may limit functionality or support where reasonably necessary.

8. Automatic updates

Where automatic updates are enabled, you authorise the Device or application to check for, download and install approved TerraAqua updates. TerraAqua will use reasonable care to preserve supported configuration and data, but users should maintain appropriate backups and safeguards.

9. Cloud and subscription features

Some Software features depend on an internet connection, TerraAqua Cloud, a customer account or an active subscription. Local ReefCore operation and cloud-dependent features are described in the Terms & Conditions and Subscription Terms.

10. Accounts and credentials

You must protect account credentials, controller registration details, API credentials and recovery information. You must notify TerraAqua promptly if you believe they have been compromised.

11. Data and privacy

The Software may process controller identifiers, sensor readings, configuration, diagnostics, account information and technical logs as needed to provide the selected services. Personal data is handled in accordance with the Privacy Policy.

12. Diagnostics and support

With your permission or where enabled, the Software may provide diagnostic logs and system information to assist troubleshooting, security and service improvement. Support arrangements are governed by the Support Policy when published.

13. Third-party and open-source components

The Software may include third-party or open-source components. Those components may be governed by separate licence notices. Where a third-party licence grants rights that differ from this EULA, that licence governs the relevant component.

14. Intellectual property

TerraAqua names, logos, interface designs, documentation and proprietary software are protected by intellectual-property law. No rights are granted except the limited licence expressly stated in this EULA.

15. Feedback

If you voluntarily provide suggestions or feature ideas, TerraAqua may use them without restriction or payment, provided this does not transfer ownership of your pre-existing intellectual property or personal data.

16. Availability and changes

TerraAqua may improve or alter Software features and interfaces. Material changes affecting paid services will be handled in accordance with applicable law and the Subscription Terms.

17. Warranty

Nothing in this EULA excludes statutory rights relating to digital content. To the extent permitted by law, the Software is provided for its documented purpose and TerraAqua does not warrant that it will be error-free or uninterrupted in every environment.

The voluntary hardware warranty is governed separately by the Warranty Policy.

18. Limitation of liability

Nothing excludes or limits liability that cannot legally be excluded, including applicable liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

To the maximum extent permitted by law, TerraAqua is not responsible for indirect or consequential loss, livestock loss, business loss, loss of profits or loss caused by unsupported modification, incorrect configuration, unsafe installation, incompatible equipment or failure to maintain suitable backup and supervision.

19. Suspension and termination

This licence ends if you materially breach the EULA and fail to remedy the breach where remedy is possible. TerraAqua may suspend cloud-linked functions immediately where necessary to address fraud, unlawful use or a serious security threat.

On termination, you must stop using affected Software and remove copies where reasonably possible, except for components embedded in hardware that continue to operate lawfully without access to terminated services.

20. Transfer of hardware

If you transfer a ReefCore Controller to another person, you must remove it from your account, remove personal credentials and follow the documented reset procedure. The new owner must accept the applicable current terms before using account or cloud features.

21. Export controls

You must not export, re-export or use the Software contrary to applicable export-control, sanctions or trade laws.

22. Governing law

This EULA is governed by the laws of England and Wales. Courts in England and Wales have jurisdiction, except where mandatory consumer law provides otherwise.

23. Changes to this EULA

TerraAqua may update this EULA for legal, security, technical or service reasons. Material changes will be communicated where required. Continued use after the effective date constitutes acceptance where permitted by law.
